loadedintherelatedTaitDesignatedProduct,included onCD,downloadedfromtheTaitwebsite,orprovidedin anyotherform,youagreetobeboundbythetermsof thisAgreement.Ifyoudonotagreetothetermsofthis Agreement,donotinstalloruseanyoftheSoftware.If youinstalloruseanyoftheSoftware,thatwillbe deemedtobeacceptanceofthetermsofthisAgree-
ment. Forgoodandvaluableconsideration,thepartiesagree asfollows:
Section 1 DEFINITIONS ConfidentialInformationmeansalloranyinformation suppliedtoorreceivedbyLicenseefromTait,whether beforeorafterinstallationoruseandwhetherdirectlyor indirectlypertainingtotheSoftwareandDocumentation suppliedbyTait,includingwithoutlimitationallinform-
ationrelatingtotheDesignatedProducts,hardware, software;copyright,designregistrations,trademarks;
operations,processes,andrelatedbusinessaffairsof Tait;andincludinganyothergoodsorpropertysupplied byTaittoLicenseepursuanttothetermsofthisAgree-
ment. Designated Productsmeansproductsprovidedby TaittoLicenseewithwhichorforwhichtheSoftware andDocumentationislicensedforuse. Documentationmeansproductandsoftwaredoc-
umentationthatspecifiestechnicalandperformancefea-
turesandcapabilities;user,operation,andtraining manualsfortheSoftware;andallphysicalorelectronic mediauponwhichsuchinformationisprovided. Executable CodemeansSoftwareinaformthatcan beruninacomputerandtypicallyreferstomachinelan-
guage,whichiscomprisedofnativeinstructionsthe computercarriesoutinhardware.Executablecodemay alsorefertoprogramswrittenininterpretedlanguages thatrequireadditionalsoftwaretoactuallyexecute. Intellectual Property RightsandIntellectual Prop-
ertymeanthefollowingortheirsubstantialequivalents orcounterparts,recognizedbyorthroughactionbefore anygovernmentalauthorityinanyjurisdictionthrough-
outtheworldandincluding,butnotlimitedtoallrightsin patents,patentapplications,inventions,copyrights, 122 Tait International Ltd December 2019 statesofthatsoftwarepriortoitscompilationintoan executableprogramme. Software Keymeansacodeorkeythatissupplied byTaittoaccess,enableandusetheSoftwareorcer-
tainfunctionsorfeaturesoftheSoftware. TaitmeansTaitInternationalLimitedandincludesits Affiliates. Section 2 SCOPE ThisAgreementcontainsthetermsandconditionsof thelicenseTaitisprovidingtoLicensee,andof LicenseesuseoftheSoftwareandDocumentation.Tait andLicenseeenterintothisAgreementinconnection withTaitdeliveryofcertainproprietarySoftwareand/or productscontainingembeddedorpre-loadedproprietary Software. Section 3 GRANT OF LICENSE 3.1.SubjecttotheprovisionsofthisAgreementandthe paymentofapplicablelicensefees,Taitgrantsto Licenseeapersonal,limited,non-transferable(except aspermittedinSection7),andnon-exclusivelicenseto usetheSoftwareinexecutablecodeform,andtheDocu-
mentation,solelyinconnectionwithLicensee'suseof theDesignatedProductsfortheusefullifeoftheDesig-
natedProducts.ThisAgreementdoesnotgrantany rightstosourcecode. 3.2.TheLicenseeacknowledgesthatoneormoreSoft-
wareKeysmayberequiredfromTaitfortheSoftwareor certainfunctionsorfeaturesoftheSoftware.The Licenseemayonlyaccess,enableandusesuchSoft-
wareorfunctionsorfeaturesoftheSoftwarewithSoft-
wareKeysissuedbyTait.Taitmayprovidethe LicenseewithaSoftwareKeyfortheSoftwareorcertain functionsorfeaturesoftheSoftwareagreedtobythe partiesaspartofthisAgreement.TheSoftwareKey maycontrolthefunctionsorfeaturesoftheSoftware licensedinaccordancewiththisAgreement.The LicenseeslicensetotheSoftwareKeyislimitedtoa licensetousetheSoftwareKeyonlytoaccess,enable andusetheSoftwareorcertainfunctionsorfeaturesof theSoftwarethatTaithasagreedtoprovidetothe LicenseeandonlyinaccordancewiththeDocu-
mentation. 3.3.IftheSoftwarelicensedunderthisAgreementcon-
tainsorisderivedfromOpenSourceSoftware,the termsandconditionsgoverningtheuseofsuchOpen SourceSoftwareareintheOpenSourceSoftware LicensesofthecopyrightownerandnotinthisAgree-
ment.Ifthereisaconflictbetweenthetermsandcon-
ditionsofthisAgreementandthetermsandconditions 123 Tait International Ltd December 2019 oftheanyapplicableOpenSourceSoftwareLicenses, thetermsandconditionsoftheOpenSourceSoftware Licenseswilltakeprecedence.Forinformationabout OpenSourceComponentscontainedinTaitproducts andtherelatedOpenSourcelicenses,see:
https://www.taitradio.com/opensource Section 4 LIMITATIONS ON USE 4.1.LicenseemayusetheSoftwareonlyforLicensee's internalbusinesspurposesandonlyinaccordancewith theDocumentation.AnyotheruseoftheSoftwareis strictlyprohibited.Withoutlimitingthegeneralnatureof theserestrictions,LicenseewillnotmaketheSoftware availableforusebythirdpartiesona"timesharing,"
"applicationserviceprovider,""servicebureau"basis,or foranyothersimilarcommercialrentalorsharing arrangement. 4.2.Licenseewillnot,andwillnotdirectlyorindirectly alloworenableanythirdpartyto:(i)reverseengineer, disassemble,extractcomponents,decompile,repro-
gram,orotherwisereducetheSoftwareoranyportion thereoftoahumanperceptibleformorotherwise attempttorecreatethesourcecode;(ii)modify,adapt, createderivativeworksof,ormergetheSoftware;(iii) copy,reproduce,distribute,lend,orleasetheSoftware orDocumentationtoanythirdparty;(iv)grantanysub-
licenseorotherrightsintheSoftwareorDocumentation toanythirdparty;(v)takeanyactionthatwouldcause theSoftwareorDocumentationtobeplacedinthepub-
licdomain;(vi)remove,orinanywayalterorobscure anycopyrightnoticeorothernoticeofTaitorthird-party licensorsproprietaryrights;(vii)provide,copy,transmit, disclose,divulgeormaketheSoftwareorDocu-
mentationavailableto,orpermittheuseoftheSoftware by,anythirdpartyoronanymachineexceptas expresslyauthorizedbythisAgreement;or(viii)use,or permittheuseof,theSoftwareinamannerthatwould resultintheproductionofacopyoftheSoftwarebyany meanswhatsoeverotherthanwhatispermittedinthis Agreement.LicenseemaymakeonecopyoftheSoft-
waretobeusedsolelyforarchival,back-up,ordisaster recoverypurposes;providedthatLicenseemaynotoper-
atethatcopyoftheSoftwareatthesametimeastheori-
ginalSoftwareisbeingoperated.Licenseemaymake asmanycopiesoftheDocumentationasitmayreas-
onablyrequirefortheinternaluseoftheSoftware. 4.3.UnlessotherwiseauthorizedbyTaitinwriting, Licenseewillnot,andwillnotenableorallowanythird partyto:(i)installacopyoftheSoftwareonmorethan oneunitofaDesignatedProduct;or(ii)copyortransfer SoftwareinstalledononeunitofaDesignatedProduct toanyotherdevice.Licenseemaytemporarilytransfer SoftwareinstalledonaDesignatedProducttoanother deviceiftheDesignatedProductisinoperableormal-
functioning.TemporarytransferoftheSoftwareto anotherdevicemustbediscontinuedwhentheoriginal DesignatedProductisreturnedtooperationandtheSoft-
waremustberemovedfromtheotherdevice. 4.4.Licenseewillmaintain,duringthetermofthisAgree-
mentandforaperiodoftwoyearsthereafter,accurate recordsrelatingtothislicensegranttoverifycompliance withthisAgreement.Tait,orathirdpartynominatedby Tait,mayinspectLicenseespremises,booksand records,uponreasonablepriornoticetoLicensee,dur-
ingLicenseesnormalbusinesshoursandsubjectto Licensee'sfacilityandsecurityregulations.Taitis responsibleforthepaymentofallexpensesandcostsof theinspection,providedthatLicenseeshallindemnify Taitforallcosts(includingauditcostsandlegalcosts onasolicitorclientbasis)ifLicenseehasbreachedthe termsofthisAgreement.Anyinformationobtainedby Taitduringthecourseoftheinspectionwillbekeptin strictconfidencebyTaitandusedsolelyforthepurpose ofverifyingLicensee'scompliancewiththetermsofthis Agreement. Section 5 OWNERSHIP AND TITLE Tait,itslicensors,anditssuppliersretainalloftheirIntel-
lectualPropertyRightsinandtotheSoftwareandDocu-
mentation,inanyform.Norightsaregrantedto LicenseeunderthisAgreementbyimplication,estoppel orotherwise,exceptforthoserightswhichare expresslygrantedtoLicenseeinthisAgreement.All IntellectualPropertydeveloped,originated,orprepared byTaitinconnectionwithprovidingtheSoftware,Desig-
natedProducts,Documentation,orrelatedservices, remainsvestedexclusivelyinTait,andLicenseewillnot haveanyshareddevelopmentorotherIntellectualProp-
ertyRights. Section 6 LIMITED WARRANTY; DISCLAIMER OF WARRANTY 6.1.ThecommencementdateandthetermoftheSoft-
warewarrantywillbeaperiodofone(1)yearfromTait shipmentoftheSoftware.IfLicenseeisnotinbreachof anyobligationsunderthisAgreement,Taitwarrantsthat theunmodifiedSoftware,whenusedproperlyandin accordancewiththeDocumentationandthisAgree-
ment,willbefreefromareproducibledefectthatelim-
inatesthefunctionalityorsuccessfuloperationofa featurecriticaltotheprimaryfunctionalityorsuccessful operationoftheSoftware.Whetheradefecthas occurredwillbedeterminedsolelybyTait.Taitdoesnot 124 Tait International Ltd December 2019 warrantthatLicenseesuseoftheSoftwareortheDesig-
natedProductswillbeuninterrupted,error-free,com-
pletelyfreeofSecurityVulnerabilities,orthatthe SoftwareortheDesignatedProductswillmeet Licenseesparticularrequirements.Taitmakesnorep-
resentationsorwarrantieswithrespecttoanythird-party softwareincludedintheSoftware. 6.2TaitsoleobligationtoLicensee,andLicensees exclusiveremedyunderthiswarranty,istousereas-
onableeffortstoremedyanymaterialSoftwaredefect coveredbythiswarranty.Theseeffortswillinvolve eitherreplacingthemediaorattemptingtocorrectsig-
nificant,demonstrableprogramordocumentationerrors orSecurityVulnerabilities.IfTaitcannotcorrectthe defectwithinareasonabletime,thenatTaitoption,Tait willreplacethedefectiveSoftwarewithfunctionallyequi-
valentSoftware,licensetoLicenseesubstituteSoft-
warewhichwillaccomplishthesameobjective,or terminatethelicenseandrefundLicenseespaidlicense fee.IfTaitinvestigationoftheperceiveddefectreveals thatnosuchdefectinfactexists,Taitmayrecoverits costsinrespectofsuchinvestigationfromLicensee. 6.3.Taitdisclaimsanyandallotherwarrantiesrelating totheSoftwareorDocumentationotherthanthe expresswarrantiessetforthinthisSection6.War-
rantiesinSection6areinlieuofallotherwarranties whetherexpressorimplied,oralorwritten,andincluding withoutlimitationanyandallimpliedwarrantiesofcon-
dition,title,non-infringement,merchantability,orfitness foraparticularpurposeorusebyLicensee(whetherTait knows,hasreasontoknow,hasbeenadvisedof,oris otherwiseawareofanysuchpurposeoruse),whether arisingbylaw,byreasonofcustomorusageoftrade,or bycourseofdealing.Inaddition,Taitdisclaimsanywar-
rantytoanypersonotherthanLicenseewithrespectto theSoftwareorDocumentation. Section 7 TRANSFERS 7.1.LicenseewillnottransfertheSoftwareorDocu-
mentationtoanythirdpartywithoutspecificpriorwritten consentfromTait.Taitmaywithholdsuchconsentorat itsowndiscretionmaketheconsentconditionalupon thetransfereepayingapplicablelicensefeesandagree-
ingtobeboundbythisAgreement. 7.2.Inthecaseofavalue-addedresellerordistributorof TaitDesignatedProducts,theconsentreferredtoinSec-
tion7.1maybecontainedinaTaitResellerorTaitDis-
tributorAgreement. 7.3.IftheDesignatedProductsareTaitvehicle-moun-
tedmobileproductsorhand-carriedportableradio productsandLicenseetransfersownershipoftheTait mobileorportableradioproductstoathirdparty, LicenseemayassignitsrighttousetheSoftwarewhich isembeddedinorfurnishedforusewiththeradio productsandtherelatedDocumentation;providedthat LicenseetransfersallcopiesoftheSoftwareandDocu-
mentationtothetransferee. 7.4.7.4.Fortheavoidanceofanydoubt,Section7.3 excludesTaitNetInfrastructure,ortheproductslistedat anytimeundernetworkproductsat:http://www.-
taitradio.com. 7.5.IfLicensee,asacontractororsubcontractor(integ-
rator),ispurchasingTaitDesignatedProductsand licensingSoftwarenotforitsowninternalusebutfor enduseonlybyaCustomer,theLicenseemaytransfer suchSoftware,butonlyifa)Licenseetransfersallcop-
iesofsuchSoftwareandtherelatedDocumentationto thetransfereeandb)Licenseehasfirstobtainedfromits Customer(and,ifLicenseeisactingasasubcontractor, fromtheinterimtransferee(s)andfromtheultimateend usersublicense)anenforceablesublicenseagreement thatprohibitsanyothertransferandthatcontainsrestric-
tionssubstantiallyidenticaltothetermssetforthinthis SoftwareLicenseAgreement.Exceptasstatedinthe foregoing,Licenseeandanytransferee(s)authorisedby thisSectionmaynototherwisetransferormakeavail-
ableanyTaitSoftwaretoanythirdpartynorpermitany partytodoso.Licenseewill,onrequest,makeavailable evidencereasonablysatisfactorytoTaitdemonstrating compliancewithalltheforegoing. Section 8 TERM AND TERMINATION 8.1.LicenseesrighttousetheSoftwareandDocu-
mentationwillcommencewhentheDesignated ProductsaresuppliedbyTaittoLicenseeandwillcon-
tinueforthelifeoftheDesignatedProductswithwhich orforwhichtheSoftwareandDocumentationaresup-
plied,unlessLicenseebreachesthisAgreement,in whichcasethisAgreementandLicensee'srighttouse theSoftwareandDocumentationmaybeterminated immediatelyuponnoticebyTait. 8.2.Withinthirty(30)daysafterterminationofthis Agreement,LicenseemustcertifyinwritingtoTaitthat allcopiesoftheSoftwarehavebeenremovedordeleted fromtheDesignatedProductsandthatallcopiesofthe SoftwareandDocumentationhavebeenreturnedtoTait ordestroyedbyLicenseeandarenolongerinuseby Licensee. 8.3.LicenseeacknowledgesthatTaitmadeacon-
siderableinvestmentofresourcesinthedevelopment, marketing,anddistributionoftheSoftwareandDocu-
mentationandthatLicensee'sbreachofthisAgreement 125 Tait International Ltd December 2019 willresultinirreparableharmtoTaitforwhichmonetary damageswouldbeinadequate.IfLicenseebreaches thisAgreement,TaitmayterminatethisAgreementand beentitledtoallavailableremediesatlaworinequity includingimmediateinjunctivereliefandrepossession ofallnon-embeddedSoftwareandassociatedDocu-
mentation.LicenseeshallpayallTaitcosts(onan indemnitybasis)fortheenforcementofthetermsofthis Agreement. Section 9 CONFIDENTIALITY LicenseeacknowledgesthattheSoftwareandDocu-
mentationcontainproprietaryandConfidentialInform-
ationvaluabletoTaitandareTaittradesecrets,and Licenseeagreestorespecttheconfidentialityofthe informationcontainedintheSoftwareandDocu-
mentation. Section 10 LIMITATION OF LIABILITY 10.1.InnocircumstancesshallTaitbeunderanyliab-
ilitytoLicensee,oranyotherpersonwhatsoever, whetherinTort(includingnegligence),Contract(except asexpresslyprovidedinthisAgreement),Equity,under anyStatute,orotherwiseatlawforanylossesordam-
ageswhethergeneral,special,exemplary,punitive,dir-
ect,indirect,orconsequentialarisingoutoforin connectionwithanyuseorinabilityofusingtheSoft-
ware. 10.2.LicenseessoleremedyagainstTaitwillbelimited tobreachofcontractandTaitsoleandtotalliabilityfor anysuchclaimshallbelimitedattheoptionofTaitto therepairorreplacementoftheSoftwareortherefundof thepurchasepriceoftheSoftware. Section 11 GENERAL 11.1.COPYRIGHTNOTICES.Theexistenceofacopy-
rightnoticeontheSoftwarewillnotbeconstruedasan admissionorpresumptionofpublicationoftheSoftware orpublicdisclosureofanytradesecretsassociatedwith theSoftware. 11.2.COMPLIANCEWITHLAWS.Licenseeacknow-
ledgesthattheSoftwaremaybesubjecttothelawsand regulationsofthejurisdictioncoveringthesupplyofthe DesignatedProductsandwillcomplywithallapplicable lawsandregulations,includingexportlawsandreg-
ulations,ofthatcountry. 11.3.ASSIGNMENTSANDSUBCONTRACTING. Taitmayassignitsrightsorsubcontractitsobligations underthisAgreement,orencumberorsellitsrightsin anySoftware,withoutpriornoticeto,orconsentof, Licensee. validandenforceableprovisionthatachievestheori-
ginalintentandeconomiceffectofthisAgreement. 11.11CONSUMERGUARANTEES.Licenseeacknow-
ledgesthatthelicensessuppliedintermsofthisagree-
mentaresuppliedtoLicenseeinbusiness,andthatthe guaranteesandotherprovisionsofprevailingconsumer protectionlegislationshallnotapply. 11.12WHOLEAGREEMENT.Licenseeacknowledges thatithasreadthisAgreement,understandsitand agreestobeboundbyitstermsandconditions. Licenseealsoagreesthat,subjectonlytotheexpress termsofanyotheragreementbetweenTaitand Licenseetothecontrary,thisisthecompleteandexclus-
ivestatementoftheAgreementbetweenitandTaitin relationtotheSoftware.ThisAgreementsupersedes anyproposalorprioragreement,oralorwritten,andany othercommunicationsbetweenLicenseeandTaitrelat-
ingtotheSoftwareandtheDesignatedProducts. 11.4.GOVERNINGLAW.ThisAgreementshallbesub-
jecttoandconstruedinaccordancewithNewZealand lawanddisputesbetweenthepartiesconcerningthepro-
visionshereofshallbedeterminedbytheNewZealand CourtsofLaw.ProvidedhoweverTaitmayatitselec-
tionbringproceedingsforbreachofthetermshereofor fortheenforcementofanyjudgmentinrelationtoa breachofthetermshereofinanyjurisdictionTaitcon-
sidersfitforthepurposeofensuringcompliancewiththe termshereoforobtainingreliefforbreachoftheterms hereof. 11.5.THIRD-PARTYBENEFICIARIES.ThisAgree-
mentisenteredintosolelyforthebenefitofTaitand Licensee.Nothirdpartyhastherighttomakeanyclaim orassertanyrightunderthisAgreement,andnothird partyisdeemedabeneficiaryofthisAgreement.Not-
withstandingtheforegoing,anylicensororsupplierof third-partysoftwareincludedintheSoftwarewillbeadir-
ectandintendedthird-partybeneficiaryofthisAgree-
ment. 11.6.SURVIVAL.Sections4,5,6.3,7,8,9,10,and11 survivetheterminationofthisAgreement. 11.7.ORDEROFPRECEDENCE.Intheeventof inconsistenciesbetweenthisAgreementandanyother Agreementbetweentheparties,thepartiesagreethat, withrespecttothespecificsubjectmatterofthisAgree-
ment,thisAgreementprevails. 11.8SECURITY.Taitusesreasonablemeansinthe designandwritingofitsownSoftwareandtheacquis-
itionofthird-partySoftwareinordertolimitSecurityVul-
nerabilities.Whilenosoftwarecanbeguaranteedtobe freefromSecurityVulnerabilities,ifaSecurityVul-
nerabilityisdiscovered,Taitwilltakethestepsspe-
cifiedinSection6ofthisAgreement. 11.9EXPORT.Licenseewillnottransfer,directlyor indirectly,anyDesignatedProduct,Documentationor Softwarefurnishedhereunderorthedirectproductof suchDocumentationorSoftwaretoanycountryfor whichNewZealandoranyotherapplicablecountry requiresanexportlicenseorothergovernmental approvalwithoutfirstobtainingsuchlicenseorapproval. 11.10SEVERABILITY.Intheeventthatanypartor partsofthisAgreementshallbeheldillegalornulland voidbyanycourtoradministrativebodyofcompetent jurisdiction,suchdeterminationshallnotaffectthe remainingtermswhichshallremaininfullforceand effectasifsuchpartorpartsheldtobeillegalorvoid hadnotbeenincludedinthisAgreement.Taitmay replacetheinvalidorunenforceableprovisionwitha 126 Tait International Ltd December 2019
